"Introduction: This Contract between Enjoyer and Creator ("this Agreement") governs each interaction between an Enjoyer and a Creator on KissHunter.
"Scope: This Agreement is legally binding and applies each time a Creator Interaction is initiated on KissHunter. This Agreement applies to the exclusion of any other terms which the Enjoyer or Creator may propose.
"Parties: The only parties to this Agreement are the Enjoyer and Creator participating in the Creator Interaction. STONEVER LTD and/or its Subsidiaries are not parties to this Agreement or any Creator Interaction except as set forth below.
"Interpretation: In this Agreement, defined terms have the following meanings:
"Company": STONEVER LTD
"Content": any material uploaded to KissHunter by any User, including photos, videos, audio, livestream material, data, text, metadata, images, emojis, GIFs, and other material.
"Creator": a User who has set up their KissHunter account like "Creators Account" to post Content for Enjoyers to view.
"Creator Earnings": the portion of an Enjoyer or User Payment payable to a Creator under the Terms of Use.
"Creator Interaction": an interaction on KissHunter that grants access to a Creator's Content, including: (i) a Subscription; (ii) payment for pay-per-view Content; or (iii) any other interaction or payment between a any User and a Creator's account or Content, including direct messages.
"Creator Interaction Licence": the non-transferable, non-sublicensable, and non-exclusive rights each Creator grants for Relevant Content.
"Enjoyer": A User who has registered and paid for a subscription to a Creator account and who can access the Creator's "Only For Enjoyers Content" through Interaction with the Creator.
"User": A user who has registered and has an account still has access to free or paid content from content creators or other paid content. But does not have a paid monthly subscription to a creator account and does not have access to "Only For Enjoyers Content" content.
"Enjoyer or User Payment": any payment related to a Creator Interaction.
"STONEVER Fee": The 20% of all Enjoyer and/or User Payments charged to Creators in accordance with the Terms of Use.
"Include," "Includes," and "Including": also mean "without limitation."
"KissHunter": the website accessed via www.kisshunter.com or any web browser, owned and operated by STONEVER LTD.
"Paid Relevant Content": any Content for which the Enjoyer or User must make an a Payment.
"Relevant Content": the applicable Content of a Creator to which a Creator Interaction relates.
"Subscription": an Enjoyer's binding agreement to access all Content that a Creator makes especialy for "Only For Enjoyers Content" available for a specific period in exchange for recurring payments. This excludes individually priced Content.
"Subsidiary": any legal entity controlled by STONEVER LTD.
"Tax": statutory or governmental charges, duties, imposts, contributions, levies, or withholdings.
"Upload": statutory or governmental charges, duties, imposts, contributions, levies, or withholdings.
"User": any user of KissHunter, whether a Creator, Enjoyer, or User all (also referred to as "you" or "your").
"Pricing and Payment: The Enjoyer entering into a Creator Interaction agrees to pay the applicable Enjoyer Payment plus any taxes, which STONEVER LTD and its Subsidiaries are authorized to collect. STONEVER LTD may deduct fees, pay Creator Earnings, and handle referral payments as applicable.
"Subscriptions and Renewals: When you select "Become an Enjoyer," you agree to start a Subscription. A Subscription will automatically renew at the current rate (plus Indirect Sales Tax). You authorise STONEVER LTD to charge you again after each Subscription, unless:
Your payment method fails, and you have not provided another.
The Subscription price increases.
You deactivate the "Auto-Renew" feature.
You close your KissHunter account before the new Subscription begins.
By selecting "Become an Enjoyer," you agree to these terms and acknowledge that no further notice about renewal will be provided.
"Licence of Content: As part of a Creator Interaction, the Creator grants an Enjoyer a non-exclusive Creator Interaction Licence to access Relevant Content.
"Ownership of Content: The Creator Interaction Licence does not grant Enjoyers ownership rights to the Relevant Content.
"Expiry of Licence:
The Creator Interaction Licence expires automatically if:
The Enjoyer Payment fails or is reversed.
The Creator deletes the Relevant Content or their account.
The Subscription period ends.
The Enjoyer's account is suspended or terminated.
The Creator removes the Relevant Content or their account is suspended or terminated.
"Removal of Content: STONEVER LTD reserves the right to remove any Content from a Creator's account at any time. Enjoyers acknowledge that Creators may also remove Content at any time.
"Cancellation and Refunds: Access to Relevant Content is typically granted within 14 days of the Creator Interaction. Cancellation and refund policies are governed by KissHunter's Terms of Use and applicable laws.
"Obligations Between Creators and Enjoyers:
Both parties agree to comply with KissHunter's Terms of Use.
The Creator warrants rights to grant the Creator Interaction Licence.
The Enjoyer agrees to make required payments in good faith.
"Applicable Law and Disputes: This Agreement is governed by the laws of England and Wales. Users may also rely on applicable laws in their jurisdiction.
